TGA – Terms & Conditions .

1. Introduction

These Terms and Conditions govern the services provided by TGA (The Growth Agency) to clients for website design, development, and related digital services.

By engaging TGA’s services, the client agrees to these terms.

2. Services Provided

TGA provides services including but not limited to:

Website design & development

Website redesign

E-commerce setup

Domain & hosting assistance

Website migration

Maintenance & support (if agreed separately)

Services will be defined clearly in the project proposal or invoice.

3. Payment Terms

A 50% advance payment is required before starting the project.

Remaining 50% must be paid before final delivery or website transfer.

No website files or access credentials will be shared until full payment is received.

All payments are non-refundable once work has started.

(Optional: You can later add late fee clause)

4. Project Timeline

Project timeline will be communicated before starting.

Delays caused by client (content, images, approvals) may extend the timeline.

TGA is not responsible for delays due to third-party services (hosting, domain provider, plugins, etc.).

5. Client Responsibilities

The client agrees to:

Provide required content (text, images, logo) on time.

Ensure they have rights to use provided materials.

Review and approve work within reasonable time.

6. Revisions Policy

Up to 2–3 minor revisions are included unless otherwise stated.

Major design or structure changes after approval may incur additional charges.

7. Website Ownership

Two models (choose based on your business model):

If transferring website:

After full payment:

Website ownership is transferred to the client.

TGA is not responsible for future issues unless under maintenance agreement.

If hosting under TGA:

Website remains active as long as hosting/support fees are paid.

Non-payment may result in suspension after prior notice.

8. Maintenance & Support

Maintenance is not included unless agreed separately.

Emergency fixes outside agreement may be charged.

9. Third-Party Tools & Services

TGA may use third-party tools, themes, plugins, or hosting providers.

TGA is not liable for:

Plugin failures

Hosting downtime

Policy changes of third-party providers

10. Limitation of Liability

TGA shall not be liable for:

Business losses

Data loss

Revenue loss

Security breaches caused by third-party systems

Maximum liability is limited to the amount paid for the service.

11. Termination

Either party may terminate the project before completion.

Advance payment is non-refundable once work has started.

Work completed until termination may be billed.

12. Confidentiality

TGA agrees not to share client business information without consent.

13. Governing Law

These terms are governed by the laws of India.

Any disputes shall be subject to jurisdiction of Pune, Maharashtra.
